Terms of Service

Welcome to Krosswalk. These Terms of Service ("Terms") govern your access to and use of Krosswalk's platform, software, and services, including the website at krosswalk.io and all related tools made available by Krosswalk to interact with codebases, ask questions, and generate code changes (collectively, the "Service"). By using the Service, you agree to these Terms.

AI Disclosure: Krosswalk is powered by artificial intelligence (Anthropic's Claude). When you use the Service, you are interacting with AI technology, not human developers. All responses, code suggestions, and generated content are produced by AI and should be independently verified before use.

Please also read our Privacy Policy, which explains how we collect, use, and process personal data.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Access and Use

1.1 Provision of Access

Krosswalk provides a platform that allows users to interact with codebases through natural language. The Service can answer questions about code, explain how systems work, and generate code changes including pull requests. Subject to your compliance with these Terms, Krosswalk grants you a limited, non-exclusive, non-transferable right to access and use the Service.

1.2 Content

You may provide questions, instructions, and other inputs to the Service ("Inputs") and receive responses, code suggestions, and generated pull requests based on your Inputs (collectively, "Outputs"). Inputs and Outputs are collectively referred to as "Content." We may use Content to provide the Service, comply with applicable law, enforce our terms and policies, and ensure safety. By submitting Inputs, you represent that you have all rights, licenses, and permissions necessary for us to process the Inputs and provide the Service.

1.3 Model Training

KROSSWALK WILL NOT USE YOUR CONTENT TO TRAIN, OR ALLOW ANY THIRD PARTY TO TRAIN, ANY AI MODELS, UNLESS YOU HAVE EXPLICITLY AGREED TO SUCH USE. Your code and Inputs are processed by AI models to provide real-time responses but are not retained for training purposes.

1.4 Limitations of AI-Generated Outputs

You acknowledge that Outputs are generated automatically by AI technology and:

  • May contain errors, inaccuracies, or misleading information
  • May be similar or identical to Outputs provided to other users
  • Should not be relied upon as the sole source of truth
  • May not be suitable for all use cases or environments
  • Require review and testing before use in production systems

You are solely responsible for evaluating, testing, and bearing all risks associated with the use of any Outputs, including any code generated by the Service. You should always review generated code changes before merging them into your repositories.

1.5 Use Restrictions

Except to the extent such restriction is prohibited by applicable law, you may not:

  • Reverse engineer, disassemble, decompile, or attempt to derive the source code of the Service
  • Reproduce, modify, or create derivative works of the Service
  • Rent, lease, lend, sell, or sublicense the Service
  • Remove any proprietary notices from the Service
  • Use the Service or Outputs to develop or train a competing AI model or service
  • Probe, scan, or attempt to penetrate the Service's security measures
  • Harvest, scrape, or extract data from the Service
  • Use the Service to infringe any third party's intellectual property or other rights
  • Use the Service to violate any applicable laws or regulations
  • Connect repositories you do not have authorization to access or modify
  • Use the Service to process data subject to specific regulatory protections (such as HIPAA, PCI-DSS) without appropriate safeguards

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction, whichever is higher, to use the Service. By agreeing to these Terms, you represent that:

  • You meet the age requirements stated above
  • You have not been previously suspended or removed from the Service
  • Your use of the Service complies with all applicable laws in your jurisdiction

3. Account Registration and Access

To use the Service, you must register for an account. You agree to:

  • Provide accurate, complete, and current information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Immediately notify us if you believe your account has been compromised

4. GitHub Integration and Repository Access

The Service integrates with GitHub to access your repositories and create pull requests. By connecting your GitHub account:

  • You authorize Krosswalk to access repositories you specify
  • You represent that you have the necessary rights and permissions to grant such access
  • You understand that Krosswalk may read repository content to answer questions and generate code
  • You understand that Krosswalk may create branches, commits, and pull requests on your behalf
  • You remain responsible for reviewing and approving any changes before they are merged

You may revoke repository access at any time through your GitHub settings or the Krosswalk application.

5. Payment Terms

5.1 Paid Services

Certain features of the Service may require payment. Before paying, you will have an opportunity to review the applicable fees. Unless otherwise stated, all fees are in U.S. Dollars and are non-refundable, except as required by law.

5.2 Payment Processing

Payments are processed through Stripe, Inc. By using the payment features, you agree to be bound by Stripe's terms and conditions. Krosswalk does not store your full payment card details.

5.3 Subscriptions

If you subscribe to a paid plan, your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for recurring fees. You may cancel your subscription at any time through your account settings or by contacting us.

5.4 Price Changes

Krosswalk reserves the right to change pricing with reasonable advance notice. Continued use after price changes take effect constitutes acceptance of the new pricing.

6. Ownership and Licenses

6.1 Krosswalk Service

Krosswalk and its licensors own and retain all rights to the Service, including all intellectual property rights. No implied licenses are granted under these Terms.

6.2 Your Content

You retain all rights to your Inputs and your existing code. For Outputs generated by the Service based on your repositories and instructions, Krosswalk assigns to you all rights, title, and interest in such Outputs.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Krosswalk the right to use such feedback without restriction or compensation to you.

6.4 Usage Data

Krosswalk may collect, analyze, and use usage data (technical logs, usage patterns, and learnings that do not include your Content) to improve the Service, ensure security, and for analytics purposes. We may share aggregated, de-identified usage data that does not identify you.

7. Third-Party Services and AI Disclosure

7.1 AI Disclosure

Krosswalk uses artificial intelligence to power its features. When you interact with the Service, you are communicating with AI technology, not human developers. All answers, code suggestions, and generated content are produced by AI models. You should independently verify any information or code before relying on it.

7.2 Anthropic (Claude AI)

Krosswalk is powered by Anthropic's Claude AI models. By using Krosswalk, you acknowledge and agree that:

  • Your inputs and relevant code context are transmitted to Anthropic for processing
  • Your use is subject to Anthropic's Acceptable Use Policy
  • You will not use Krosswalk in any way that would violate Anthropic's policies
  • Anthropic's data handling is governed by their Privacy Policy

Under Anthropic's Commercial API terms, your data is not used to train AI models. We encourage you to review Anthropic's policies for complete details.

7.3 Prohibited Uses Related to AI

In addition to the restrictions in Section 1.5, you may not use Krosswalk to:

  • Attempt to extract, reverse-engineer, or probe AI model weights or architectures
  • Develop competing AI models or services using outputs from the Service
  • Circumvent any safety measures or content filters
  • Generate content that violates Anthropic's Acceptable Use Policy

7.4 GitHub

When you connect your GitHub account, your use of GitHub features remains subject to GitHub's Terms of Service and Privacy Statement.

7.5 Stripe

Payment processing is handled by Stripe and subject to Stripe's Terms.

7.6 No Warranty for Third-Party Services

Krosswalk makes no representations or warranties regarding the availability, accuracy, or reliability of third-party services. We are not responsible for any actions taken by third-party service providers.

8. Termination

You may stop using the Service at any time by deleting your account. We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including:

  • Violation of these Terms
  • Conduct that may harm other users or the Service
  • Extended periods of inactivity
  • Legal or regulatory requirements

If we terminate your access due to a Terms violation, you will not be entitled to any refund. Upon termination, we may delete any Content or data associated with your account. Sections 6, 9, 10, 11, 12, and 13 will survive termination.

9. Disclaimer of Warranties

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. KROSSWALK DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

KROSSWALK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSES. YOU AGREE THAT USE OF OUTPUTS IS AT YOUR SOLE RISK AND YOU WILL NOT RELY ON ANY OUTPUT AS A SOURCE OF TRUTH WITHOUT INDEPENDENT VERIFICATION.

10. Limitation of Liability

10.1 No Indirect Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, KROSSWALK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICE OR ANY OUTPUTS.

10.2 Liability Cap

TO THE FULLEST EXTENT PERMITTED BY LAW, KROSSWALK'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU PAID TO KROSSWALK IN THE SIX (6) MONTHS PRIOR TO THE CLAIM, OR (B) $100.

10.3 Code-Related Liability

You acknowledge that AI-generated code may contain bugs, security vulnerabilities, or other defects. Krosswalk is not liable for any damages arising from the use of code generated by the Service, including but not limited to system failures, data loss, security breaches, or production outages. You are solely responsible for testing and validating all code before deployment.

11. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Krosswalk and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third party's rights, including intellectual property rights
  • Your connection of repositories you were not authorized to access
  • Any code you deploy that was generated by or influenced by the Service

12. Modifications

12.1 Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by updating the date at the top of this page and, where appropriate, through email or the Service. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

12.2 Modifications to the Service

Krosswalk may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable for any such modifications, suspensions, or discontinuations.

13. General Provisions

13.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms will be resolved exclusively in the state or federal courts located in San Francisco, California.

13.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Krosswalk regarding the Service and supersede all prior agreements.

13.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

13.4 No Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision in the future.

13.5 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms at any time without notice.

13.6 Electronic Communications

By using the Service, you consent to receive electronic communications from us. You agree that communications we send electronically satisfy any legal requirements for written communications.
